Affiliate Marketing Services Agreement
This Affiliate Marketing Services Agreement (“Agreement”) is entered into as of today (“Effective Date”) by and between:
PatriotDirect, LLC (“Company”), with its principal place of business at 117 W Central St. Suite 204 Natick, MA 01760, and
Affiliate (“Affiliate”), whose contact information is provided at signup.
Together, the parties agree as follows:
1. Purpose
The Company operates the PatriotDirect Functional Medicine Training Program (“PDFMTP”) and authorizes qualified affiliates to promote its products (including the Bioenergetic Functional Medicine book, Online Training Manuals, and Verification Program) through approved marketing channels in exchange for commission-based compensation.
2. Enrollment & Acceptance
- Affiliates must apply through the Company’s affiliate platform (Kajabi).
- Acceptance is at the sole discretion of the Company.
- The Company may reject applications that conflict with its mission, brand values, or compliance obligations.
3. Affiliate Responsibilities
The Affiliate agrees to:
- Promote Company products honestly and in good faith.
- Use only approved marketing materials (logos, ad copy, images, swipe copy, etc.) or obtain written approval for new materials.
- Disclose affiliate relationships in compliance with FTC guidelines (e.g., “As an affiliate, I may earn commissions…”).
- Avoid prohibited practices including:
- Making unsubstantiated medical claims.
- Using spam, bots, or misleading tactics.
- Bidding on Company trademarks for paid search campaigns without approval.
- Misrepresenting affiliation with Company.
4. Company Responsibilities
The Company will:
- Provide access to the affiliate portal, tracking tools, and approved marketing materials.
- Maintain accurate reporting of clicks, conversions, and commissions.
- Pay commissions according to the terms in Section 5.
- Offer reasonable support and communication regarding affiliate campaigns.
5. Compensation
- Commission Structure: Affiliate will earn 50% of net revenue on qualified purchases of upsells (Online Training Manuals, Verification Program) directly attributed to Affiliate links.
- Cookie Duration: 90 days from initial click.
- Exclusions: No commissions on refunds, chargebacks, or self-purchases.
- Payment Schedule: Commissions are calculated monthly and paid within 30 days via PayPal, direct deposit, or check. Minimum payout threshold: $50.
6. Intellectual Property
- Company trademarks, logos, and creative assets remain the exclusive property of the Company.
- Affiliate is granted a non-exclusive, revocable license to use these assets solely for promotion of Company products.
- Affiliate may not alter or misuse assets in a way that harms Company’s brand or reputation.
7. Confidentiality
Affiliate agrees not to disclose Company’s non-public information, including sales data, marketing strategies, or client information, without written consent.
8. Term & Termination
- This Agreement begins on the Effective Date and continues until terminated by either party.
- Either party may terminate with 14 days’ written notice.
- Company may terminate immediately for cause, including violations of Section 3 (Responsibilities).
- Upon termination, Affiliate must cease all use of Company assets and links.
9. Compliance & Legal
- Affiliate is responsible for ensuring compliance with all applicable laws, advertising guidelines, and professional ethics.
- Nothing in this Agreement creates an employer/employee, joint venture, or partnership relationship.
10. Limitation of Liability
Company is not liable for indirect, incidental, or consequential damages arising out of this Agreement. Affiliate’s sole remedy for disputes is termination of this Agreement.
11. Governing Law
This Agreement shall be governed by and construed under the laws of the State of Massachusetts, without regard to conflicts of law principles.
12. Entire Agreement
This Agreement represents the entire understanding between the parties and supersedes prior discussions. Amendments must be in writing and signed by both parties.
